It’s the result of more than two years of study by a Reynolds fellow and consultant, Bill Densmore, a career journalist, publisher and entrepreneur.<br><br />

The challenge is how to do a better job of helping the public find knowledge they need, amid a glut so huge that the scarce human commodity is now attention, not information. The Internet provides the opportunity to do so.”<br />

The report advocates forming an industry collaborative, tentatively called the “Information Trust Exchange Governing Association” by Densmore. It would define and foster a common technology playing field that respects consumer privacy, and makes rules for the exchange of both content and users’ identity information.<br />

“Such a system might allow news originators of any size – possibly including bloggers – to exchange payments among each other and with public users for news information and sponsored material,” says Densmore.<br />
<br />
Two thirds of the 55-page paper chronicles what Densmore says is the end of mass markets as a viable strategy for selling the advertising that has largely supported American journalism. Instead, he says, the Internet is increasingly able to deliver commercial messages targeted to specific users’ interests and profiles – or personas.<br />
<br />
As a result, the paper says, publishers and broadcasters have to learn how to use technology to become expert at personalizing information services. And that, says Densmore, requires them to help consumers with their privacy and personal information. They might help users to earn rewards, or pay for specialized information.<br />
<br />
The last third of the paper argues that the Information Trust Exchange Governing Association is the best way to help with this change. The idea is potentially controversial because the U.S. news industry has not typically cooperated on technology standards, instead being buffeted and shrunk by services originated elsewhere such as Craig’s List, eBay, Facebook or Google.<br />

“The point of the Information Trust Exchange Governing Association would be to foster collaboration that increases convenience and choice for consumers, allowing multiple service providers to compete on a common playing field,” says Densmore. The paper offers nine examples of industries where this has occurred, including railroads, cable TV, the electric grid, electrical equipment, banking and stock exchange, and the Internet itself.<br />

Such affiliation is commonplace -- trade associations are a typical example. In a 40-minute summary and Q&A, University of Missouri law professor [[http://law.missouri.edu/about/people/thom-lambert/ Thom Lambert] described the basis of U.S. antitrust law and enforcement, in the context of potential collaboration amount newspapers.</i></big><br />

Lambert cited the key cases decided by the U.S. Supreme Court. Lambert addressed approximately 30 publishers, industry executives, researchers and academics on June 24, 2010, during the conference, "From Blueprint to Building: Making the Market for Digital Information," at the Donald W. In his talk, Lambert said it is often considered within the law for competitors to agree upon technical standards which will facilitate market expansion where pricing and service options are not considered or shared. Standard-setting is usually pro-competition, he said, where it reduces transaction costs and increases choice for the public and were the total marketplace is more valuable to the public interest than the sum of its parts. The threshhold question a court might consider is: Are the standards necessary to make the market work? Competitors need to be certain they do not seek to discuss or agree on anything that isn't necessary to make the market work. <br />

I have just posted two more short videos. Tonight I put a very small load in and started it up with the factory-present settings. I used about three or four tablespoons of Tide powder detergent as shown the vide and I put it in the center of the spindle. The washer took an extremely long time -- like an hour -- to cycle. The wash stopped with rinse blinking and the beeps every five sections and was LOADED with suds. I then unplugged for 60 seconds and began a brand new cycle in hopes of rinsing away the suds. This time it got through the rinse lights but just seemed to hang on spin and never start spinning. Listen to sound in last short video. <br />

Questions:<br />
<br />
1) Where are the suds coming from? Why do they survive through the rinse cycle? Is it possible the soap isn't being released until after the wash and rinse? <br />
2) Why is it taking the washer so long to cycle? <br />
3) Why does it either hang at spin and never really spin, or cyle three times in spin, partially spinng up for less than a minute and then slowing to acrawl, then spinning up and crawl and spin up and crawl three times until quitting with single beep continuous and clothes still very wet? <br />
4) We had this washer 10 years of good service until this started last May.<br />
5) Is there a component that has failed with age? <br />
6) Or, is there some piping or valve somewhere which is clogged up, throwing the whole system off? <br />

==A. Formation== <br />

This document describes -- for conceptual purposes -- a proposed corporate form, ownership and governance of an Information Trust Exchange Governing Association (ITEGA). It is a concept document; as of Jan. 30, 2017, ITEGA was formed as a California not-for-profit public benefit corporation and its initial Board of Directors will consider this and other forms.<br />

===Mission=== <br />

The mission of ITEGA is to (a) sustain and advance the values, principles and purposes of independent journalism in and for participatory democracies worldwide and to (b) own, manage, oversee, operate or license products and services related thereto.<br />
<br />
===Dissolution=== <br />
<br />
ITEGA is a non-stock association. It is owned by its membership, whose interests may not be divided or sold except pursuant to the bylaws and whose assets, upon dissolution shall be contributed to charitable or education institutions in furtherance of journalism in conformance with the laws of its state or incorporation.<br />
<br />
===Business Location=== <br />
<br />
Until at least 2021, ITE shall have as its principal place of business any location in the United States of America.<br />
<br />
==B. Membership== <br />
<br />
Any individual may apply to join the Information Trust Exchange upon payment of annual dues established by the Board of Directors and approval of their membership application by the Board of Directors. Membership may be withheld by the board in its discretion for any lawful reason. Members shall be entitled to attend and vote at any Annual or Special meeting called by the Board of Directors or by petition of at least one-third of the membership. The names, membership class citizenship and mailing addresses of each and all members shall be public and available to all members. The ITE shall at least annually prominently publish to the public the names of all members and their classes, along with aggregate information about the change in size and composition of each class. <br />

===Establishing dues===<br />
<br />
Up until Jan. 1, 2017, changes in dues and any changes in the privileges and benefits of membership shall be approved by a two-thirds vote of directors then voting at a duly called meeting. <br />
<br />
After Dec. 31, 2016, changes in dues and any changes in the privileges and benefits of membership shall be approved by a two-thirds vote of members then voting at an annual or special meeting called with at least 90 days public notice by mail or otherwise. <br />
<br />
===Member classes===<br />
<br />
No entity shall be admitted to or removed from any class of membership in the ITEGA other than by a two-thirds vote of Board of Directors voting at a duly called board meeting.<br />

There shall be the following classes of membership: <br />

====Class A – Founding Members==== <br />

The following entities and/or individuals shall constitute the initial founding membership of the Information Trust Exchange with the standing term, and initial term of appointment to the Board of Directors for an individual nominated by the entity shown before each name: <ul><br />

The Founding Membership may be enlarged from time to time to time or at any time as may be elected by unanimous consent of directors of ITE voting at a duly called meeting. However, the original seven members shall always have the right and obligation to nominate individuals to their apportioned board seat.<br />

====Class B – Publishing Members====<br />
<br />
Any non-governmental individual or entity whose interests or business consists in substantial part the creation of original works of journalism, art, literature, news, and entertainment in whatever form. <br />
<br />
====Class C – Contributing Member====<br />
<br />
Any individual or entity, including governmental, which maintains regular account relationships billed at least monthly, all of whose customers are technically capable and permitted to participate in an Internet-based shared-user networked owned or operated by ITA for, among other purposes, management of user-centric demographics and exchange of value for information services and products. <br />
<br />
====Class D – Technology Members==== <br />
<br />
Any individual or non-governmental entity whose principal business includes the providing of technical products or services which generally support or enable public networks and forms of participatory democracy.<br />
<br />
====Class E – Participating Members====<br />
<br />
Any government, public, charitable, trade, educational or business organization which has a substantial interest or participation in the mission and affairs of the ITE and does not qualify as a Founding, Publishing or Contributing Member. <br />
<br />
====Class F – Supporting Members====<br />
<br />
Any individual not otherwise encompassed by the previous classes who wishes to support the mission and operations of ITEGA. <br />
<br />
====Class G – At large members====<br />
<br />
An individual member designated by a two-thirds vote of the Board of Directors for the purpose of qualifying the designee to hold an at-large seat on the Board of Directors.<br />
<br />
==C. Board of Directors==<br />
<br />
All the affairs of the ITE shall be governed by a Board of Directors, which shall appoint by election all officers and principal managers. The board shall have the powers customarily vested in an association board by law or precedent. <br />

===Officers: Election by Board===<br />
<br />
The Board of Directors shall initially consist of one individual designate by each of the Founding Members which together shall elect such officers as may be required by law or otherwise deemed appropriate. An officer need not be a director and all officers shall serve at the pleasure of the board. The Board of Directors may be expanded by its initial members as its initial members deem prudent, in the classes and maximum numbers set forth in the table below. In making appointments the board shall as far as is reasonably possible seek to maintain a ratable balance of occupied seats equal to the ratios of the maximum number of seats for all classes. <br />

Within each class the membership, except for Class G – At Large, members may meet from time to time or at any time and adopt rules for nominating individuals to fill seats on the Board allocated to that class after the seat has been initially filled by the board. The affirmative votes of two-thirds of directors voting at a duly called meeting shall be necessary to confirm a nomination to the board. In the event of a vacancy by resignation, death, incapacity or impeachment, the board shall immediately name a qualified replacement to serve the remaining term or until the affected membership class can meet and nominate a replacement. <br />
Any board member may be impeached and ejected from his or her seat by the affirmative votes of at least 75 percent of the board, upon grounds established by the board.<br />

Any individual who has served more than one term on the Board, or more than eight years continuously, whichever is longer, shall be ineligible for further service. <br />

After Dec.31, 2017, at least 25% of the then-sitting Board shall be non-U.S. citizens. After 2021, at least 45% of the then-sitting Board shall be non-U.S. citizens. Should the election by a class of membership of an otherwise-qualified representative to the board place the board outside of this mathematical requirement, the Board shall refuse to seat the representative and the membership of the class shall accept the Board’s judgment and nominate another representative.<br />

==D. Operations – the Operating Company==<br />

At the discretion of its board, the Information Trust Exchange Governing Association may cause to be formed, or shall acquire ownership in an Operating Company ("Operating Inc.") Operating Inc. might be a regular C-corp, or an L3C, with a mission similar to the mission of the Information Trust Exchange -- to sustain the values, principles and purposes of journalism in and for participatory democracies worldwide. Any goal of profit maximization shall be treated as subsidiary and subservient to this mission once initial capital necessary to build the service has been returned. Operating Inc. shall achieve this, among other means, by facilitating through ownership, operation or licensing an Internet shared-user network for individual-centric demographic management and exchange of information value. <br />

Operating Inc. might have two classes of stock as follows: <br />

The Class A voting shares authorized or issued shall at all times exceed 34% of the total shares outstanding. The sale or dissolution of Operating Inc., or a change in its bylaws, shall by law, regulation or bylaw require a vote of two thirds of all shares required to be voted, or at least 100% of the Class A shares, whichever is greater. <br />

The Board of Directors of Operating Inc. may in its discretion agree to provide preferential dividend rights to Class B shareholders, subject to approval of Class A shareholders, and likewise may provide to bond or debtholders rights of conversion to Class B stock, so long as the total of all such rights outstanding would not cause to be exceeded, if exercised, the requirements of the paragraph above, entitled, “Class A exceeds one third.” <br />

I spend a lot of time during each day reading news online and get my fill, so why bother with a print edition. The hey-day of print journalism is over. We're in the middle of the move to digital. How quickly print papers disappear is irrelevant to me and is mostly relevant to executives of newspapers. Their digital form will survive and maybe a weekly paper edition full of features and analyses for reading on the weekend. Reporting is done mainly by newspapers and that will continue. Readers want journalism. News has to be covered. When there are breaking stories I watch them live on TV or read about them on my cell phone. Print editions have one foot in the grave, but are resurrecting online. Focus on making the transition. As for subscribing to news web sites, I don't have to right now; can read most of what I want for free paid for by advertising. But I wouldn't mind paying if I had to or if the content was especially good. <big>Journalism is expensive, and mass-market Web advertising alone will not sustain it. Rather, news organizations must become adept at “advisor-tising” — in other words, offering a service that allows permission-based sharing of commercial messages with individual users based on their expressed interests and needs.<br />

News organizations need to to come up with a<br />
completely different revenue model to support third-party product and<br />
service marketing -- "advisor-tising." No newspaper is ever going to make a business with one-dollar CPMs the way Google and Facebook can. They won't have the audience size.<br />
<br><br><br />
<br />
So they are going to have to slice and dice their audience down to<br />
interest-based cohorts of anonymous individuals, offer them a highly customized user<br />
experience and deliver them accurately to marketers with messages relevant<br />
to the cohorts.<br />
<br><br><br />
A problem is -- Google and Facebook know this, and have thousands of<br />
engineers working on achieving it. The **only** way the news industry<br />
remains a coherent industry is if it collaboratively works on this<br />
challenge, with or without tech partners.<br />
